Terms of Service

These terms govern your use of The Iron Wheel (the “Service”), operated by Team Iron Wheel (“we”, “us”). By creating an account or using the Service you agree to them. If you do not agree, do not use the Service.

1. What the Service is

The Iron Wheel is a record-keeping and analytics tool for options and stock positions. You enter your own trades, or import them from your broker, and the Service organises them into campaigns and computes figures such as realised and unrealised profit and loss, capital requirement, break-even prices and option Greeks.

The Service is not, and does not act as:

• a broker, dealer, exchange or clearing firm - it cannot place, route, modify or cancel orders;
• an investment adviser, financial adviser, tax adviser or accountant;
• a custodian - we never hold your money, securities or broker credentials;
• a system of record for tax or regulatory purposes.

Nothing in the Service is a recommendation to buy, sell or hold any security. See the Risk Disclaimer, which forms part of these terms.

2. Eligibility and your account

• You must be at least 18 years old and able to enter into a binding contract.
• Accounts are personal. You are responsible for everything done under your account and for the security of the Google account used to sign in.
• You may only enter data relating to accounts you own or are authorised to manage.
• Sign-in is through Google OAuth; we never see or store your Google password.

3. Accuracy of figures - your broker is authoritative

Every number the Service displays is derived from data you supply and from open market data sources. It can be wrong - because of a mistyped trade, an import that misread your broker's format, a missing corporate action, stale or incorrect market data, or a limitation in our models.

Your broker's statements and confirmations are the authoritative record of your positions, cash, margin and tax basis. Reconcile against them before you act on anything you see here, and before you file a tax return. Corporate actions such as splits, mergers, special dividends and assignments are not handled automatically.

4. Market data

Prices, implied volatilities and Greeks come from open market data sources, which may change over time. They may be delayed, incomplete or inaccurate, are provided for informational purposes only, and must not be relied on for trading decisions. We do not guarantee availability, and coverage is limited to the underlyings the Service supports. You may not redistribute, resell or systematically extract market data obtained through the Service.

5. Acceptable use

You agree not to:

• access another user's data, or attempt to circumvent authentication or authorisation;
• scrape, crawl or place automated load on the Service, or use it in a way that degrades it for others;
• reverse engineer, resell or white-label the Service without our written permission;
• use the Service to provide investment advice to others, or to operate a business that requires a licence you do not hold;
• upload unlawful content or anything that infringes someone else's rights.

6. Your data

You keep ownership of the trade and campaign data you enter. You grant us the limited right to store and process it in order to operate the Service. How we handle personal data is described in the Privacy Policy.

7. Availability and changes

The Service is provided on a best-effort basis. We may change, suspend or discontinue features, and we perform maintenance without notice. We aim to keep backups, but you should export anything you cannot afford to lose. We may update these terms; material changes will be reflected in the “last updated” date above, and continued use after that date means you accept the revised terms.

8. Suspension and termination

You may stop using the Service at any time and ask us to delete your account by writing to info@ironwheel.app. We may suspend or terminate an account that breaches these terms, creates risk or legal exposure for us, or abuses the Service's resources.

9. Disclaimer of warranties

The Service is provided “as is” and “as available”, without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, accuracy and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that any calculation it produces is correct.

10. Limitation of liability

To the maximum extent permitted by law, Team Iron Wheel is not liable for any trading losses, lost profits, lost data, tax penalties, or any indirect, incidental, special, consequential or punitive damages arising out of your use of the Service - including losses resulting from an incorrect figure, an unavailable service or inaccurate market data. Our total aggregate liability is limited to the amount you paid us in the twelve months before the claim.

Nothing here excludes liability that cannot be excluded by law.

11. Indemnity

You agree to indemnify Team Iron Wheel against claims arising from your use of the Service in breach of these terms or of applicable law.

12. Governing law

These terms are governed by the laws of the Republic of Lithuania, and the courts of Lithuania have exclusive jurisdiction, except where mandatory consumer-protection law in your country of residence gives you the right to bring proceedings elsewhere.
